Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Pydia LLC ("Pydia," "we," "us," or "our") governing your access to and use of the Pydia platform available at getpydia.com (the "Service"). By creating an account, clicking "I agree," or using the Service, you agree to be bound by these Terms in full. If you do not agree, do not use the Service.
2. Description of Service
Pydia provides a back-office management platform for independent enrichment teachers serving homeschool families in Arizona. The Service includes tools for enrollment management, ClassWallet-compliant ESA invoice generation, student roster management, session scheduling, credential tracking, and subscription billing.
Pydia is an operational tool — it is not a marketplace, a school, or an educational institution. Pydia does not employ teachers, guarantee enrollment, or endorse any teacher's qualifications. The teacher-family relationship is entirely independent of Pydia.
3. Eligibility
To use the Service as a teacher, you must:
- Be at least 18 years of age
- Be a registered Arizona Empowerment Scholarship Account (ESA) ClassWallet Pay Vendor in good standing, or actively pursuing registration
- Be a legitimate provider of enrichment education services to homeschool families
- Have the legal authority to enter into these Terms on your own behalf
Teacher accounts are granted by invitation only during the Founding Partner phase. Pydia reserves the right to decline or revoke any account at its sole discretion.
4. Founding Partner Program
Teachers designated as Founding Partners by Pydia are granted the following benefits for the lifetime of their active account:
- Complimentary access to the Service for the duration of the Founding Partner period
- A locked monthly rate of $19.99 upon transition to paid plans, regardless of future standard pricing
Founding Partner benefits are personal to the designated account holder and are non-transferable. Benefits are contingent on the account remaining active and in good standing. Pydia reserves the right to modify the Founding Partner program for new applicants at any time without affecting benefits already granted to existing Founding Partners.
5. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Pydia immediately at support@getpydia.com if you suspect unauthorized access to your account. Pydia is not liable for any loss or damage arising from your failure to maintain account security.
You may not share your account credentials with any other person. Each account is licensed to a single teacher or business entity.
6. Subscription and Payment
Standard subscriptions are billed monthly at the then-current rate published on the Service. Payment is processed by Stripe, Inc. on Pydia's behalf. By providing payment information, you authorize Pydia to charge your payment method on a recurring monthly basis until you cancel.
Subscription fees are non-refundable except as required by applicable law. Failed payments will result in a grace period after which access to the Service may be suspended until payment is resolved. Pydia reserves the right to change subscription pricing with 30 days' written notice to existing subscribers.
7. Free Trial
New teacher accounts that are not Founding Partners may be offered a free trial period as specified at the time of account creation. No payment method is required during the trial period. At the end of the trial, continued use of the Service will require a paid subscription. You may cancel before the trial ends at no charge.
8. Cancellation and Termination
Cancellation by You
You may cancel your subscription at any time through the billing settings in your dashboard. Cancellation takes effect at the end of the current billing period. Your data, including offerings, enrollments, and invoices, will remain accessible for 90 days following cancellation, after which it will be permanently deleted. Pydia strongly recommends exporting your data before cancellation. ESA invoice records required for ClassWallet compliance will be retained for 7 years from the invoice date regardless of account status.
Termination by Pydia
Pydia may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that harms other users or third parties. Where practical, Pydia will provide advance notice and an opportunity to cure the violation. Termination for fraud or serious violations may be immediate and without notice.
9. Teacher Responsibilities
As a teacher using the Service, you represent, warrant, and agree that:
- All information you provide — including your ClassWallet business name, credentials, and session dates — is accurate, complete, and current
- You are the registered ClassWallet Pay Vendor associated with your account and solely responsible for maintaining your vendor standing with ClassWallet and ADE
- You have obtained all necessary consents from parents and guardians to collect, process, and store student information through the Service
- You will promptly honor any parent or guardian request to access, correct, or delete information about their child
- You will use the Service only for lawful enrichment education activities
- You will not submit invoices for services not actually rendered or for amounts that do not reflect the actual agreement with the family
- You will maintain adequate insurance and comply with all applicable federal, state, and local laws governing your teaching activities
10. Prohibited Uses
You may not use the Service to:
- Submit fraudulent ESA invoices to ClassWallet, ADE, or any government program
- Misrepresent your credentials, qualifications, or ClassWallet vendor status to families
- Collect payment for services not actually rendered
- Harvest or collect personal information from families for any purpose other than managing your own students through the Service
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use automated scripts or bots to access the Service without Pydia's written consent
- Resell, sublicense, or otherwise commercialize access to the Service
- Interfere with or disrupt the security or performance of the Service
11. Parent and Student Data
When you use the Service to collect enrollment information from families, you are the data controller for that information under applicable privacy law. Pydia acts as your data processor. The terms governing this data processing relationship are set out in the Data Processing Agreement, which is incorporated into these Terms by reference.
You are responsible for ensuring families are appropriately informed about how their data is collected and used, and for honoring any data rights requests in accordance with applicable law and Pydia's Privacy Policy.
12. Third-Party Services
The Service integrates with third-party providers including Stripe (payment processing), ClassWallet (ESA invoice submission), Supabase (data storage), Resend (email delivery), Vercel (hosting), and Anthropic (AI-powered ESA assistant). Your use of these services is governed by their respective terms and privacy policies. Pydia is not responsible for the actions, availability, pricing, or policies of any third-party service.
13. ClassWallet and ESA Disclaimer
Pydia generates ClassWallet-compliant invoice documents based on the information you provide. Pydia makes no representations or warranties that any invoice generated through the Service will be approved by ClassWallet or ADE. Invoice approval decisions are made solely by ClassWallet and ADE based on their internal policies, the ESA student's account status, and program funding availability — all of which are entirely outside Pydia's control.
Pydia is not affiliated with, endorsed by, or in any way connected to the Arizona Department of Education, ClassWallet, or any government entity. Invoice rejections, ESA account suspensions, funding shortfalls, or changes to the Arizona ESA program are not grounds for a refund of Pydia subscription fees and do not constitute a failure of the Service.
14. Intellectual Property
The Service — including its design, code, features, and original content created by Pydia — is owned by Pydia LLC and protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the Service without Pydia's express written consent.
You retain full ownership of all content you create on the Service, including your teacher profile, class descriptions, photos, and uploaded documents. You grant Pydia a limited, non-exclusive license to store, display, and process this content solely as necessary to operate the Service on your behalf. This license ends when you delete the content or close your account.
15. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Pydia does not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities. To the fullest extent permitted by applicable law, Pydia disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Pydia's total liability to you for any claim arising from or relating to these Terms or the Service shall not exceed the total fees paid by you to Pydia in the twelve (12) months immediately preceding the claim. In no event shall Pydia be liable for indirect, incidental, special, consequential, exemplary, or punitive damages — including lost revenue, lost profits, or business interruption — even if Pydia has been advised of the possibility of such damages.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if any limited remedy fails of its essential purpose.
17. Indemnification
You agree to indemnify, defend, and hold harmless Pydia LLC and its officers, members, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) disputes between you and families who use your enrollment forms; (d) your ClassWallet vendor activities, including invoice submissions and fund receipt; or (e) your collection or handling of student or parent data.
18. Governing Law and Dispute Resolution
These Terms are governed exclusively by the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Maricopa County, Arizona. You irrevocably consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenient forum.
19. Changes to Terms
Pydia reserves the right to modify these Terms at any time. For material changes — those that meaningfully affect your rights or obligations — we will provide at least 14 days' advance notice by email to your registered address. Non-material changes (such as clarifications, corrections, or formatting) may take effect immediately.
Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account before the effective date.
20. General
These Terms, together with the Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Pydia with respect to the Service and supersede all prior agreements. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force. Pydia's failure to enforce any right or provision shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms or any rights hereunder without Pydia's prior written consent. Pydia may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
